Terms of Use

1. Welcome to Planily

These Terms and Conditions of Use (“Terms”) form a contract between you (“you”, “user”) and Planily, controller and provider of the Planily mobile applications for iOS and Android (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy (incorporated by reference). If you do not agree, do not use the Service.

3. Scope of the Service

Planily provides family/household planning features, including calendar and events, shared lists, push notifications, analytics, and crash reporting. No payments or subscriptions are currently offered via the Service.

4. Eligibility

You must be at least 13 years old to use the Service. If required by local law (e.g., digital consent age), users aged 13–15 may only use the Service with parental/guardian consent. We do not offer parental controls; what you share in your family group is your responsibility.

5. Account registration and security

  1. You must provide accurate and current information and keep it updated.
  2. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  3. Notify us immediately of any unauthorized use or security incident at planilyapps@gmail.com.
  4. Use strong passwords and device-level protections where available.

6. Your content and permissions

“User Content” includes items you add or share via the Service (e.g., events, lists, notes, attachments) and related metadata.

  1. Ownership: You retain ownership of your User Content.
  2. License to operate the Service: You grant Planily and our service providers a worldwide, non-exclusive, royalty-free license to host, store, back up, transmit, display, and process your User Content solely to provide and improve the Service and its features (e.g., syncing, notifications), and to comply with law.
  3. Sharing within families/households: Content created in or shared to a family/household is visible to its members as designed by the app. You are responsible for what you share and for managing your membership and content visibility.
  4. Responsibility: You are solely responsible for your User Content and for ensuring you have all necessary rights to upload/share it.

7. Acceptable use

You agree not to:

  • Violate laws or third-party rights (IP, privacy, publicity, confidentiality).
  • Upload or share unlawful, harmful, defamatory, obscene, hateful, or exploitative content; or content that harms or exploits minors.
  • Introduce malware or attempt to gain unauthorized access to the Service or related systems.
  • Probe, scan, or test the vulnerability of any system or network, or interfere with or disrupt the Service.
  • Send spam, chain letters, or unsolicited communications via the Service.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Overburden the Service (e.g., excessive bandwidth or storage abuse).

8. Third-party services and content

The Service may include links to, or rely on, third-party services (e.g., Apple, Google, and Google Firebase for authentication, hosting, analytics, crash reporting, and push delivery). Use of third-party services may be subject to their own terms and privacy policies. Planily is not responsible for those services.

9. Privacy

Our Privacy Policy explains what we collect, why, and how we handle your data (EU storage; no international transfers planned; no advertising or marketing). It also explains your rights and choices. Read it carefully before using the Service.

10. Changes to the Service

The Service may evolve over time. We may add, remove, or modify features, or suspend or discontinue the Service (in whole or part). We will aim to provide reasonable notice where practical.

11. Updates and notifications

We may deliver app updates (e.g., bug fixes, improvements) that install automatically. We may send you essential service notices (e.g., security, terms changes). You can control push notifications in your device settings.

12. Support

We provide reasonable support by email at planilyapps@gmail.com. Response times may vary.

13. Termination

  1. By you: You may stop using the Service or request account deletion at any time by emailing planilyapps@gmail.com.
  2. By us: We may suspend or terminate your access immediately if you breach these Terms, create risk or possible legal exposure for us or others, or if required by law.
  3. Effect: Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g., 6, 7, 8, 14–18) will survive.

14. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that data will be preserved without loss.

15. Limitation of liability

To the fullest extent permitted by law, Planily and its officers, directors, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Our aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the claim (currently: DKK 0, as there are no paid features), or (b) DKK 500. Consumer rights that cannot be excluded or limited by law remain unaffected.

16. Indemnification

You agree to defend, indemnify, and hold harmless Planily and its officers, directors, employees, and service providers from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms or applicable law.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice in the app or by email where appropriate. Updated Terms are effective when posted unless stated otherwise. If you continue to use the Service after changes take effect, you accept the updated Terms.

18. Governing law and venue

These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them or their subject matter or formation are governed by the laws of Denmark, without regard to conflict-of-laws principles. The courts of Denmark will have exclusive jurisdiction, except that consumers may have the right to bring claims in their local courts under mandatory consumer law.

19. Communications

We may provide notices by email to the address associated with your account or by in-app notice. You are responsible for keeping your email address up to date. You may contact us at planilyapps@gmail.com or at the postal address above.

20. Intellectual property

The Service, including software, design, and content we provide (excluding User Content), is owned by Planily or its licensors and is protected by law. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable license to use the app solely for its intended purpose.

21. Miscellaneous

  • If any provision is held invalid or unenforceable, it will be replaced with a valid provision that most closely reflects the intent, and the remainder will stay in effect.
  • You may not assign or transfer these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Headings are for convenience only and have no legal effect.
  • These Terms (together with the Privacy Policy) are the entire agreement between you and Planily regarding the Service.

22. Code of Conduct

This Code of Conduct applies to your use of the Service. You must:

  • Comply with applicable laws and these Terms.
  • Respect others and their data; do not harass, threaten, or discriminate.
  • Refrain from posting or sharing illegal, harmful, hateful, pornographic, or exploitative content.
  • Not share content you do not have the rights to share.
  • Not harm or attempt to harm the Service or other users (malware, phishing, DDoS, unauthorized access, scraping, or excessive load).
  • Not impersonate anyone or misrepresent your affiliation.

We may remove content or suspend accounts that violate this Code.

23. Copyright complaints

If you believe content in the Service infringes your copyright, contact planilyapps@gmail.com with details sufficient for us to identify and assess the material (including URLs/screenshots, your contact information, and your rights basis). We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.
